Completion Assets definition
Completion Assets means the Completion Books and Records, the Completion Business Agreements, the Completion Fixtures and Fittings, the Drilling Agreements (other than the NLN Drilling Agreement), the Rigs and the Rig Assets, excluding the Excluded Assets and the NLN Assets;
Completion Assets means an existing functional plant relating to the Business and all its related assets, or all of the shares held by the Company of an entity which directly owns such a plant, or cash, with a value of no less than the Completion Amount.
Completion Assets means any item of economic value to JVS (to the extent not funding a liability being transferred on a Fully Funded Basis or an ST Transferred Liability) of the ST Business that ST transfers to the JVS under Clauses 7.3(A)(i) and 7.3(A)(ii) of this Agreement including but not limited to cash (to the extent not extracted), goodwill, patents, trademarks, inventories, property, plant, equipment, equity investments and deferred tax assets but excluding the ST Excluded Assets (other than cash to the extent not extracted prior to transfer);
Examples of Completion Assets in a sentence
The Completion Assets will include all goods, materials and equipment related to the Rigs that are on order at Completion.
The option under this Section 1.70 shall only be exercisable by the Company if there shall have been a Closing and at the Closing the Company shall have transferred to NewCo the Current Assets, and, if required, the Completion Assets as contemplated by this Agreement.
