The parties acknowledge and agree that the sole consequence of (and HCG's sole liability regarding) HCG's breach of such representation and warranty, shall be HCG's obligation to provide a Complete Refund or Partial Refund pursuant to and as applicable under Section 11.01(i).
Upon such timely termination by NRTC, HCG shall provide NRTC with a Complete Refund.
