Competitive Offer(s) definition

Competitive Offer(s) shall have the meaning set forth in Section 11.34(a) hereof.

  • Competitive Offers shall be made in a manner that will not encourage favoritism or substantially diminish competition.

  • The process for making Competitive Offers shall conform to the following procedures, in general compliance with the open and competitive nature of public procurement, taking into account industry subcontracting practices.

  • BMG's match, if any, shall be the average of the two Competitive Offers.

  • Noteholders may submit one or more Competitive Offers in respect of the Notes on or prior to the Expiration Deadline, provided that the aggregate principal amount of the Notes that are the subject of these Competitive Offers does not exceed the aggregate principal amount of the Notes that each such Noteholder holds.
