Competitive Offering definition

Competitive Offering means any software product with the primary purpose of managing retail customer sales transactions at the point of sale in petroleum and convenience stores, retail food service outlets or domestic cinemas, and that automates and tracks the placement and fulfillment of customer orders at the point of sale, integrates with credit and debit card payment processing systems, interfaces with other management information systems associated with the order fulfillment process, and is offered in the Restricted Territory; provided, however, that such term does not include any point-of-sale systems that are web hosted with the software and associated data residing centrally, outside the retail site.
Competitive Offering means a web-based computer program that contains features or functionality similar to the web-based supply chain or workforce management computer programs included in the Software.
Competitive Offering means offering products and services that are similar in function to any offering of Athena to physician, payer or hospital practices (e.g., any medical billing, practice management, electronic health record, patient communication, medical referral, patient pre-registration, insurance pre-authorization, health care business informatics, population health management, or mobile medical informatics product or service). For the avoidance of doubt, the AHS Entities shall not be considered founders for the purposes of this Section 10 (c). 11.

Examples of Competitive Offering in a sentence

  • Upon the request of AHS USA, Athena shall consent in writing to the AHS Entities providing products and services to new clients that offer a Competitive Offering, which consent shall not be unreasonably withheld or delayed; each such new client for which Athena consents to the provision of products or services by any of the AHS Entities shall be deemed to have been added to Schedule 2 without any further action by the parties.

  • Following an Acquisition, Enterprise may terminate this Agreement during the First Renewal Term or the Second Renewal Term immediately upon written notice to Radiant if Radiant or a Radiant Affiliate markets, offers, commits to sell or sells any Competitive Offering acquired or obtained pursuant to such Acquisition.

  • Merchant may not use the Private Label Images or Merchant-Captured Product Images in connection with any Competitive Offering (as defined below).

  • The Investor agrees that as long as SCIC delivers the Payment Notice in accordance with the Competitive Offering Regulations and the relevant transfer contractentered into between SCIC and the Investor, the VND amount transferred by the Escrow Agent under this paragraph (c) shall be SCIC’s own property and SCIC shall not have any obligations to, nor shall it be liable to, the Investor in any way to the extent related to the Escrow Amount or such VND amount.

Related to Competitive Offering

  • Competitive solicitation means a formal, advertised procurement process, other than an Invitation to Bid, Request for Proposals, or Invitation to Negotiate, approved by the Board to purchase commodities and/or services which affords vendors fair treatment in the competition for award of a District purchase contract.

  • Competitive Business means any firm, partnership, joint venture, corporation and/or any other Person, and/or any licensee of such entity, that develops, manufactures, markets, distributes, provides, offers, or sells any services or products substantially similar to First Party’s services or products.

  • Competitive Products shall include any product or service that directly or indirectly competes with, is substantially similar to, or serves as a reasonable substitute for, any product or service in research, development or design, or manufactured, produced, sold or distributed by the Company;

  • Competitive Process means a formal sealed, electronic, or web-based bid procedure used for all nonclaims related purchases for goods and services over fifty thousand dollars. For purchases between five thousand dollars and fifty thousand dollars, competitive process means quotations obtained from at least three vendors by telephone or written quotations, or both, and supported by evidence of competition. Purchases up to five thousand dollars are exempt from competitive bids providing procurement is based on obtaining maximum quality at minimum cost.

  • Competitive Product means a product or service, made or provided by a Competitor, which is the same as or is directly competitive with one with respect to which the Employee acquired confidential information relating to the Company, or its business, products or services by reason of the Employee's work with the Company.
