Competitive Offer definition

Competitive Offer means (i) a tender or exchange offer for the acquisition of any Company Shares, commenced by any person other than a member of the Purchasers’ Group, as provided under the Chilean Securities Market Law, or (ii) a tender or exchange offer for the acquisition of any Company Shares represented by American Depositary Shares by any person other than a member of the Purchasers’ Group, as provided under applicable U.S. federal securities Laws;
Competitive Offer is defined as a binding offer that: (i) is from a licensed interexchange carrier ("Alternative Carrier"); (ii) contains an "Aggregate Price" that is at least five percent (5%) lower than the total price that would be charged by Qwest to provision the Facility under the terms of the Agreement; (iii) provides for a Facility of the type that would be provisioned by Qwest hereunder; and (iv) contains terms and conditions that do not materially differ from those of this Agreement, except that with respect to a minimum monthly recurring charge requirement and term, such terms and conditions must be identical to those of this Agreement. As used herein, "Aggregate Price" shall be defined as the total price (including pass-through access/egress (or related) charges imposed by third parties (such as LECs), any monthly recurring charges, non-recurring charges, taxes, surcharges and any and all other applicable charges) that would be charged to ▇▇▇ by an Alternative Carrier for the requested Facility.

  • Any notice given hereunder by either Party shall be made in writing and shall be effective once delivered by e-mail with indication of complete electronic transmission thereof and addressed as follows: To Participant: At the name and email as indicated in Participant’s Competitive Offer to PG&E CPE.

  • This term of this Confidentiality Agreement shall be two (2) years from the submittal date of the applicable Competitive Offer; provided however, that either Party may earlier terminate this Confidentiality Agreement by giving the other Party thirty (30) days prior written notice of its intention to terminate this Confidentiality Agreement.

  • In the event that BBC fails to deliver such revised Price Confirmation Memo within the time period specified above in this Section 4(c), or if such revised Price Confirmation Memo does not satisfy the conditions set forth in the proviso to the first sentence in this Section 4(c), then LAG shall be free to accept the Competitive Offer.

  • Seller may elect to present to Buyer any Competitive Offer that contains (a) a purchase price that exceeds the then-current Purchase Price per ton of Products from the applicable Mill, and (b) a term of supply lasting one (1) year or longer (the “Competitive Offer Term”).

  • Buyer shall, upon receipt of written notice of each such Competitive Offer, have fifteen (15) business days (the “Offer Period”) to agree in writing to accept the price set forth in the Competitive Offer for the volume set forth in the Competitive Offer for the duration of the Competitive Offer Term.

  • The Seller has dominion over the Property to the extent necessary to construct, own and operate the kilowatt (kW) (“Project”) in accordance with an executed Competitive Offer Power Purchase Agreement (“COPPA”) with Los Angeles Department of Water and Power (“LADWP”).

  • If within ten (10) business days of BMG's receipt of Owner's written Competitive Offer, BMG fails to respond to Owner's request or notifies Owner that BMG is not willing to match such offer, then and only then may Owner utilize the services of those third-party manufacturers from which the Competitive Offer were secured for the particular configuration concerned.

  • Active Offer means the clear and proactive offer of service in French to individuals, from the first point of contact, without placing the responsibility of requesting services in French on the individual;

  • Competitive solicitation means a formal, advertised procurement process, other than an Invitation to Bid, Request for Proposals, or Invitation to Negotiate, approved by the Board to purchase commodities and/or services which affords vendors fair treatment in the competition for award of a District purchase contract.

  • Competing Offer means a Tender Offer for Units which (i) is Commenced prior to the expiration of the Offer by a Person that is not an Affiliate (or in the case of Walt▇▇ ▇▇▇eet, as to its Associates only) of any Partner and (ii) has a cash purchase price per Unit that is at least 2% (10% with respect to the first Competing Offer made following the Offer by the Partnership)

  • Competitive Business means any firm, partnership, joint venture, corporation and/or any other Person, and/or any licensee of such entity, that develops, manufactures, markets, distributes, provides, offers, or sells any services or products substantially similar to First Party’s services or products.

  • Competitive negotiation means a procedure for contracting for supplies, materials, equipment or contractual services, in which proposals are solicited from qualified suppliers by a request for proposals, and changes may be negotiated in proposals and prices after being submitted.
