Compensation on Termination definition

Compensation on Termination. Has the meaning given in clause 22.6 (Termination of Agreement);
Compensation on Termination means any payment made by the Authority to the Senior Creditors and / or the Sponsor Creditors (as applicable) in accordance with the terms of the Project Agreement following a termination of the Project Agreement.
Compensation on Termination means the compensation payable to the Private Partner upon early termination of Agreement in the amount set out in Annex 15.

  • This Limited Assignment of Construction Contract comprises this executed agreement and the following Schedules, which are hereby incorporated by reference into and form part of this Limited Assignment of Construction Contract: Schedule A – Executed Copy of Construction Contract Schedule B – Compensation on Termination Schedule C – Dispute Resolution Procedure.

  • Contracting Authority will pay the Compensation Payment in accordance with the provisions of Schedule 23 – Compensation on Termination.

  • If payment of any amount payable under this Agreement is not made when due (including Termination Payments payable pursuant to Schedule 9 [Compensation on Termination]), interest will be payable on such amount at the Default Rate and will be calculated from the date due under this Agreement until paid, compounded monthly.

  • The costs and/or expenses to be taken into account in the calculation of all termination sums due pursuant to this Schedule Part 17 (Compensation on Termination) shall only be such costs and/or expenses to the extent that they are reasonable and proper in quantum and shall have been or will be reasonably and properly incurred and shall only be counted once.

  • Without prejudice to Clauses 40 (DBFM Co Event of Default), 42 (Authority Voluntary Termination), 46 (Compensation on Termination) and 47 (Consequences of Termination) the Authority shall not be entitled to claim liquidated or general damages in respect of any delay which elapses between the Completion Date [Phase Completion Date] and the Actual Completion Date [relevant Phase Actual Completion Date].

  • Except as herein provided, the provisions of Company policy RCW - 2.16, "Compensation on Termination, Retirement or Death", dated 1994 April shall apply and shall be deemed to form part of this Agreement.

  • If the amount referred to in clause 35.2.1 (Compensation on Termination on Force Majeure) is less than zero, then, for the purposes of the calculation in clause 35.2.1 (Compensation on Termination on Force Majeure) it shall be deemed to be zero.

  • Termination Compensation means a monthly cash amount equal to one-twelfth (1/12th) of the highest amount of the annual cash compensation (including cash bonuses and other cash-based compensation, including for these purposes amounts earned or payable whether or not deferred) received by Executive during any one of the three (3) calendar years immediately preceding the calendar year in which Executive’s Termination Date occurs; provided, that if the cash compensation received by Executive during the Termination Year exceeds the highest amount of the annual cash compensation received by Executive during any one of the immediately preceding three (3) consecutive calendar years, the cash compensation received by Executive during the Termination Year shall be deemed to be Executive’s highest amount of annual cash compensation. In no event shall Executive’s Termination Compensation include equity-based compensation (e.g., income realized as a result of Executive’s exercise of non-qualified stock options or other stock based benefits).

  • Termination of Services means Participant’s Termination of Consultancy, Termination of Directorship or Termination of Employment, as applicable.

  • Compensation Accrued at Termination means the following:

  • Compensation Period has the meaning specified in Section 2.12(c)(ii).

  • Compensation and Benefits Programs means all compensation and benefit plans, policies, and programs of the Debtors, and all amendments and modifications thereto, applicable to the Debtors’ employees, former employees, retirees, and non-employee directors and the employees, former employees and retirees of their subsidiaries, including all savings plans, retirement plans, health care plans, disability plans, and incentive plans, deferred compensation plans, and life, accidental death, and dismemberment insurance plans.
