Comparable Financing definition
Comparable Financing means any Incremental Term Facility (or any Incremental Equivalent Debt, any Permitted Ratio Debt and/or any Incurred Acquisition Debt in the form of term loans) that is both denominated in U.S. Dollars and secured by liens on Collateral that rank pari passu with the liens that secure the Initial Term Facility.
Comparable Financing means any Indebtedness that is (a) in the form of a syndicated “term loan B” facility, (b) denominated in Dollars and (c) secured by Liens on Collateral that rank pari passu in priority with the Liens that secure the Term B-1 Loans.
Comparable Financing means any Indebtedness that is secured by Liens on Collateral that rank pari passu in priority with the Liens that secure the Initial Term Loans (other than customary private placements of high yield notes in reliance on Rule 144A and Regulation S under the Securities Act).

Comparable Financing means any Indebtedness that (a) is in the form of a broadly syndicated “term loan B” facility, (b) is secured by Liens on Collateral that rank pari passu in priority with the Liens that secure the Closing Date Term Loans and (c) is not by its terms capable of being priced with reference to the Benchmark.
