Company’s Competitor definition

Company’s Competitor means any entity other than any Group Company that primarily conducts the business of researching and developing immune cell therapy and stem cell therapy and the production and sale of pharmaceutical products in connection with such therapies or similar businesses, without prejudice to the foregoing, for the avoidance of doubt, no financial investor or fund investor that only holds a minority stake in such entity (regardless of whether such investor holds any board seat in the aforesaid entity) shall qualify as a Company’s Competitor.
Company’s Competitor means any Person being engaged in any business that is directly or indirectly competing with the Business conducted by any Group Company, being Mobike (摩拜单车), ofo bike (ofo单车), Qibei bike (骑呗单车), Bluegogo (小蓝单车), Kuqi bike (酷骑单车), Xiaoming bike (小鸣单车), Didi (滴滴), Meituan (美团) and Affiliates Controlled by such Persons or any other Persons via a VIE Structure or in contractual control relationship with such Persons. The Founders shall have the right to request, acting reasonably and by notice in writing, for an update of the foregoing Persons every six (6) months (provided that the number of updated Persons (other than any other Persons actually or contractually Controlled by such Persons) shall not exceed 10) and the list of such Persons may be updated upon approval of the Board.
Company’s Competitor means any entity that is a bona fide competitor of the Company and/or any of its Subsidiaries as determined in good faith by the disinterested members of the Board, or any officer, director or Affiliate of any such entity.

Examples of Company’s Competitor in a sentence

  • The Company has defined “Competitor” for certain lines of business, departments or job functions by establishing a specific standard and/or by name as set forth in the Company’s Competitor List(s).

  • The Company has defined “Competitor” by establishing a specific standard and/or by listing the names of Entities (as defined in Section D7(c) below) on the Company’s Competitor List(s).

  • The Company has defined Competitor for certain lines of business, departments or job functions by establishing a specific standard and/or by name as set forth in the Company’s Competitor List(s).

  • The Company has defined “Competitor” by establishing a specific standard and/or by listing the names of Entities (as defined in Section C7(c) below) on the Company’s Competitor List(s).

  • In accordance with Company’s ▇▇▇▇▇▇▇ ▇▇▇▇▇▇▇ Policy, Executive shall not make a direct investment in a business entity that is Company’s Competitor or a Company Vendor/Customer during the Term of Employment, if such direct investments result in Executive or Executive’s immediate family members, and/or a trust established by Executive or Executive’s immediate family members, owning five percent or more of such a Competitor or Company Vendor/Customer.

  • Notwithstanding the foregoing, should New Company determine in good faith that such third party accepting the transfer of all the stock rights, assets or businesses of UT (hereinafter referred to as “New Company’s Competitor”) has business competition with New Company, rights and obligations hereunder shall not be effective for New Company’s Competitor because of such transfer and the Agreement shall be terminated automatically when such transfer becomes effective.
