Company Reference Value definition
Company Reference Value means, in the sole discretion of the Contributing Member(s), either (a) the book value of the Company determined in accordance with accounting principles generally accepted in the United States of America as of the most recently completed fiscal year of the Company or (b) the fair market value of the Company (i) determined immediately prior to the Request as to which the Company Reference Value determination is made, (ii) determined by an independent appraiser selected by the Contributing Member(s) and (iii) excluding goodwill not reflected in the Company’s financial statements.
Company Reference Value means a dollar amount equal to (i) the sum of the Company Equity Value, plus (ii) the Aggregate Exercise Price, plus (iii) the Private Placement Value, minus (iv) the Aggregate Company Incentive Amount.
