Company Current Liabilities definition
Company Current Liabilities means, with respect to Company or any Subsidiary (on a consolidated basis) the sum of (i) trade accounts payable, including, without limitation, trade accounts payable to any Seller or Related Party, (ii) accrued liabilities and (iii) other current liabilities; provided, however, that Company Current Liabilities shall exclude: (a) Indebtedness (excluding trade accounts payable) payable to any Seller or any Related Party; (b) the current portion of the Closing Date Debt Payoff Amount; (c) income taxes and franchise taxes (current or deferred); (d) any Transaction Expenses or Change of Control Payments that are reflected in the calculation of the Purchase Price; (e) overdrafts and outstanding checks to the extent included as a component of Cash and (f) any other current and miscellaneous receivables that have historically for management reporting purposes been classified as a component of current assets and have subsequently been re-classified as a component of accounts payable including but not limited to vendor receivables and miscellaneous manufacturer program receivables.
Company Current Liabilities means accounts payable and accrued expenses, but excluding deferred revenue, current and deferred income tax liabilities, and sales and use Taxes treated as Indebtedness, determined in accordance with Exhibit A.
Company Current Liabilities means the current Liabilities of the Company and each Company Subsidiary as of immediately prior to the Effective Time as determined under GAAP applied on a basis consistent with the preparation of the audited Financial Statements, but excluding (i) any Liability included in Company Assumed Indebtedness, Company Retired Indebtedness or Unpaid Company Expenses, (ii) any current Liabilities that are non-cash charges or expenses (e.g., deferred revenue) and (iii) any deferred income tax liabilities.

On or effective as of the Closing Date, Sellers will pay or cause to be paid and discharged (or forgiven) the aggregate amount of indebtedness for borrowed money together with accrued interest thereon due and owing by the Company and its Subsidiaries (together with any prepayment fees, penalties or similar amounts), except the Power Systems Notes and except to the extent any such indebtedness is included in Company Current Liabilities and reflected in the Working Capital.
