Company Components definition
Company Components shall have the meaning given to it in Section 1.14(a)(iii).
Company Components means (A) all components sold by the Company or any of its Subsidiaries on or prior to the date hereof and listed on Section 1.14(a)(iii)(A) of the Disclosure Schedule (which schedule may be updated prior to the Effective Time upon the mutual agreement of the Buyer and the Company, such agreement not to be unreasonably withheld, delayed or conditioned), (B) all components currently under development by the Company or any Subsidiary and listed on Section 1.14(a)(iii)(B) of the Disclosure Schedule (which schedule may be updated prior to the Effective Time upon the mutual agreement of the Buyer and the Company, such agreement not to be unreasonably withheld, delayed or conditioned) and (C) any components described in clauses (A) or (B) hereof that are modified or re-branded by the Buyer, the Surviving Corporation or any Affiliate of any of the foregoing during the Earn-Out Period.

All inventions, improvements, designs, modifications, processes, know-how, and other Intellectual Property (collectively, “Foreground Technology”) developed in connection with or for use in Company Components under this Agreement shall be solely owned by Company, regardless of which party created or contributed to such Foreground Technology.
