All such payments made by the Company as part of your Temporary Commuting Allowance shall be subject to withholding for federal, state or local taxes as the Company reasonably may determine.
The dollar amount of Permanent Relocation Assistance available to you is the difference between the Relocation Cap and any payments made to you (or on your behalf) under the Temporary Commuting Allowance.

The Commuting Allowance Amounts shall be paid in quarterly installments, commencing on the Employment Commencement Date and every three (3) months thereafter on the date of the applicable calendar month corresponding with the Employment Commencement Date, provided that the Executive remains an employee of the Company through each applicable Commuting Allowance installment payment date.
The Commuting Allowance Amounts shall be treated as taxable compensation at the time of payment and shall be subject to any tax withholding and payroll deductions required by applicable law.
For ease of administration, each installment of the Commuting Allowance Amount may be paid through the Company’s payroll practices during the applicable calendar month in which such payment is due.

Following the third anniversary of the Employment Commencement Date, the Company and Executive may discuss whether to continue payment of Commuting Allowance Amounts for some additional period of time.
Expenses reimbursable under the Temporary Commuting Allowance include pre-move travel (between Wildwood, MO and Lansing, MI), related lodging and meal expenses, and other related transition expenses, and will be reimbursed after receipts are submitted for such expenses in accordance with the Company’s policy for expense reimbursement.
