Common Plan Agreements definition

Common Plan Agreements means (i) that certain Merger Agreement and Plan of Merger dated of even date herewith by and among Newco, REG Merger Sub, Inc. and REG (the “REG Merger Agreement”); (ii) that certain Merger Agreement dated of even date herewith by and among Newco, REG Danville, LLC, REG and Blackhawk Biofuels, LLC; and (iii) that certain Asset Purchase Agreement dated May 8, 2009 by and among Newco, REG Xxxxxx, LLC REG and Central Iowa Energy, LLC.
Common Plan Agreements means (i) that certain Amended and Restated Merger Agreement and Plan of Merger of even execution date herewith by and among Newco, REG Merger Sub, Inc. and REG (the “REG Merger Agreement”); (ii) that certain Amended and Restated Merger Agreement of even execution date herewith by and among Newco, REG Danville, LLC, REG and Blackhawk Biofuels, LLC; and (iii) that certain Amended and Restated Asset Purchase Agreement of even execution date herewith by and among Newco, REG Xxxxxx, LLC REG and Central Iowa Energy, LLC.
Common Plan Agreements means (i) that certain Second Amended and Restated Agreement and Plan of Merger of even execution date herewith by and among Parent, REG Merger Sub, Inc. and REG (the “REG Merger Agreement”); (ii) that certain Second Amended and Restated Asset Purchase Agreement of even execution date herewith by and among Parent, REG Xxxxxx, LLC, REG and Central Iowa Energy, LLC; and (iii) that certain Second Amended and Restated Asset Purchase Agreement of even execution date herewith by and among Parent, REG Wall Lake, LLC, REG and Western Iowa Energy, LLC.

Examples of Common Plan Agreements in a sentence

  • Newco, Purchaser and REG shall arrange with the parties to the Common Plan Agreements (other than REG) to provide the Company access to information regarding such parties on terms substantially similar to those relating to the Company’s access to information regarding Newco, Purchaser and REG provided by this Section 6.1.

Related to Common Plan Agreements

  • Plan Agreement means a written agreement, as may be amended from time to time, which is entered into by and between an Employer and a Participant. Each Plan Agreement executed by a Participant and the Participant’s Employer shall provide for the entire benefit to which such Participant is entitled under the Plan; should there be more than one Plan Agreement, the Plan Agreement bearing the latest date of acceptance by the Employer shall supersede all previous Plan Agreements in their entirety and shall govern such entitlement. The terms of any Plan Agreement may be different for any Participant, and any Plan Agreement may provide additional benefits not set forth in the Plan or limit the benefits otherwise provided under the Plan; provided, however, that any such additional benefits or benefit limitations must be agreed to by both the Employer and the Participant.

  • Plan Documents means the reports, proposals, preliminary plans, survey and basis of design data, general and detail construction plans, profiles, specifications and all other information pertaining to equipment.

  • Construction Plans means plans, drawings, specifications and related documents, and construction schedules for the construction of the Project, together with all supplements, amendments or corrections, submitted by the Developer and approved by the City in accordance with this Agreement.

  • Restoration Plan means all technical and organisational measures necessary for the restoration of the system back to normal state;

  • Separation Plan means the Company’s Separation Plan Amended and Restated Effective August 13, 2006, as may be amended from time to time or any successor plan, program, arrangement or agreement thereto.

  • Benefit Arrangements has the meaning set forth in Section 4.20(b).

  • Deferred Compensation Agreement means an agreement to participate and to defer compensation between a Participant and the Company in such form and consistent with terms of the Plan as the Company may prescribe from time to time.

  • Compensation Plans shall have the meaning set forth in Section 3.11(b).

  • Supplemental Plan means a written plan for a child outlining the agency's plan to locate a permanent placement for the child and which may be developed concurrently with the case plan.

  • Retirement Plans means the retirement income, supplemental executive retirement, excess benefits and retiree medical, life and similar benefit plans providing retirement perquisites, benefits and service credit for benefits at least as great in the aggregate as are payable thereunder prior to a Change in Control;

  • Supplemental Retirement Plan means (i) the Company’s Amended and Restated Supplemental Executive Retirement Plan, (ii) the Company’s Supplemental Management Retirement Plan, (iii) the Company’s Amended and Restated Top Hat Restoration Plan, and (iv) the Company’s Defined Contribution Restoration Plan.

  • Option Plans has the meaning assigned thereto in Section 2.5(b).

  • Former Plan means any employee benefit plan in respect of which the Customer or a Subsidiary has engaged in a transaction described in Section 4069 or Section 4212(c) of ERISA.

  • Deferred Compensation Plan means any plan, agreement or arrangement maintained by the Company from time to time that provides opportunities for deferral of compensation.

  • Statutory Plans means statutory benefit plans which a Party and any of its Subsidiaries are required to participate in or comply with, including any benefit plan administered by any federal or provincial government and any benefit plans administered pursuant to applicable health, tax, workplace safety insurance, and employment insurance legislation;

  • Equity Plans meanss the stock option and incentive plans adopted and maintained by the Company from time to time.

  • Incentive Plans means any incentive, bonus, deferred compensation or similar plan or arrangement currently or hereafter made available by Employer in which Executive is eligible to participate.

  • Thrift Plan means the Financial Institutions Thrift Plan, a qualified and tax-exempt defined contribution plan and trust under Sections 401(a) and 501(a) of the Code, as adopted by the Bank.

  • Implementation Plan means the schedule included in the Statement of Work setting forth the sequence of events for the performance of Services under the Statement of Work, including the Milestones and Milestone Dates.

  • Benefit Arrangement means at any time an employee benefit plan within the meaning of Section 3(3) of ERISA which is not a Plan or a Multiemployer Plan and which is maintained or otherwise contributed to by any member of the ERISA Group.

  • Incentive Compensation Plans means annual incentive compensation plans and long-term incentive compensation plans of the Company, which long-term incentive compensation plans may include plans offering stock options, restricted stock and other long-term incentive compensation.

  • Company Plans has the meaning set forth in Section 4.10(a).
