Common Allocation definition

Common Allocation means, with respect to any shares of Company Capital Stock, Restricted Stock Awards or Company Options, an amount, rounded to the nearest one one-hundredth of one percent with 0.005% rounded up, equal to the quotient (expressed as a percentage) obtained by dividing (a) the number of shares of Company Common Stock represented thereby or subject thereto (as applicable, and whether or not previously vested) as of immediately prior to the Effective Time (it being understood that the number of shares of Company Common Stock represented by one share of Company Preferred Stock, as determined in accordance with the Charter Documents, is one), by (b) the total number of Fully Diluted Shares.
Common Allocation means, with respect to each Unit, a fraction, the numerator of which is one (1) and the denominator of which is the total number of Units in the Community. The initial Common Allocations for the initial Units are set forth on Exhibit C attached hereto.

Examples of Common Allocation in a sentence

  • Notwithstanding the foregoing, the parties agree that it may be in the best interest of Holdings to adjust the Holdings Common Allocation and the Holdings Preferred Allocation or sell shares of Holdings Common Stock and Holdings Preferred Stock at a price per share other than the Holdings Common Stock Price and the Holdings Preferred Stock Price, respectively.

  • An initial interview will be conducted and if there is an indication that the applicant may be eligible for the Common Allocation Scheme, the case will be referred to a case worker who will take ownership of the case and pull in the necessary resources to ensure all options are considered.

  • Should any partner wish to withdraw from participating in the Common Housing Register and Common Allocation Scheme, they will provide the Powys Common Housing Register Partnership with 3 months written notice of their intention to withdraw.
