Commodity Software definition

Commodity Software means commonly available, off-the-shelf software (excluding Open Source Materials) with aggregate value of less than $10,000 that is licensed non-exclusively to the Company in object code form only on generally available terms and is not part of or directly used to enable any product or service of the Company.

  • Any costs, penalties or charges incurred by GAAP resulting from the cancellation of any order for such Commodity Software shall be for the account of Client who shall reimburse these to GAAP upon demand.

  • Except as set forth in Section 2.9(a) of the Company Disclosure Schedule, the Company is not obligated to make any payment to any Person for the use or other exploitation of any Intellectual Property Rights (other than Commodity Software).

  • Client agrees to look solely to the warranties and remedies, if any, provided by the original licensor or supplier of such Commodity Software, to the exclusion of all warranties and remedies afforded to Client in terms of this Agreement.

  • Third Party Software means software which is proprietary to any third party (other than an Affiliate of the Contractor) which is or will be used by the Contractor for the purposes of providing the Services.

Open Source Material includes software that is licensed under the GNU General Public License, GNU Lesser General Public License, Mozilla Public License, Apache License, or BSD License.

  • Supplier Software means software which is proprietary to the Supplier and software which is or will be used by the Supplier for the purposes of providing the Placement Services;
