Commitment and Engagement Letter definition
Commitment and Engagement Letter means the Amended and Restated Commitment and Engagement Letter, dated as of June 21, 2021, among the Borrower, Holdings and the Arrangers and Lenders party thereto.
Commitment and Engagement Letter means the separate commitment and engagement letter dated November 29, 2010 among the Borrower, the Administrative Agent and the Arranger.

No Credit Party has any obligation to any Person in respect of any finders’, brokers’, investment banking or other similar fee in connection with any of the Transactions other than pursuant to the Commitment and Engagement Letter.
In addition to the foregoing commission, the Borrower shall pay to the Administrative Agent, for the account of the Issuing Bank, a fronting fee with respect to each Letter of Credit as set forth in the Commitment and Engagement Letter.
