Commercial Software License definition

Commercial Software License means licenses of software programs that are generally commercially available to the public or businesses, which have been non-exclusively licensed to any Acquired Company pursuant to “click-wrap,” “click to download,” “browsewrap” or “shrink-wrap” end-user licenses solely for their own internal use.
Commercial Software License means any license or group of related licenses of executable computer software only that is used internally in the operation of the Business without any redistribution, modification or customization, and which computer software is presently commercially available under the same or substantially similar terms and conditions as licensed to the Company or the Company Subs (as applicable) (A) for aggregate initial license fees (for all related licenses) of less than $50,000 in the case of perpetual licenses, or (B) for aggregate annualized license fees (for all related licenses) of less than $25,000 in the case of any license other than a perpetual license.
Commercial Software License means any Contract that is “shrink wrap,” any license for off-the-shelf, non-customized Software products, or computer services agreements (including agreements under which such Software is delivered as a service) made available on standard, unmodified terms, available at a cost of not more than $100,000 annually.

  • The Order of Precedence for resolving any inconsistency between the Commercial Software License and the GSA contract terms shall be as specified in the GSA contract's Commercial Item clause, FAR 52.212-4.

  • A QNX Commercial Software License Agreement ("CSLA") allows you to develop commercial QNX Runtime Product- or Momentics Tool- based applications and QNX Runtime Product derivative works, on your own or with technical support or custom engineering assistance from QSS (see ▇▇▇▇://▇▇▇▇▇▇▇▇▇.▇▇▇.▇▇▇/services/).

  • All actions taken by the Committee will be final and binding on all persons.
