By or before the Relocation Date (i) use the Commercial Grant for Approved Expenses; and (ii) submit invoices and/or proof of payment, including receipts and any additional documentation reasonably requested by the City evidencing that the Commercial Grant was used for the Approved Expenses.
Code §36 7-14-12.2(a)(25) and upon receipt of invoices, receipts and/or other documentation demonstrating that the Commercial Grant was used or is in the process of being used (if the City is directly paying a vendor or another entity) for Approved Expenses, the FRC and the Corporation shall provide thyssenkrupp, its vendor or another designated entity the Commercial Grant by or before the Relocation Date, which Commercial Grant shall be exclusively applied to the cost of Approved Expenses.
The Corporation shall, beginning on the Lease Signing Date, make available the Commercial Grant to Fuzic pursuant to the procedure set forth in this Section V(A).
If thyssenkrupp fails (a) to satisfy the Relocation Commitment or Employment Commitment, the City shall be entitled to reimbursement in an amount calculated as follows: percentage of failure to comply multiplied by the portion of the Commercial Grant received as at the time of non- compliance (“Grant Reimbursement Amount”).
If Fuzic fails to relocate at least twenty (20) FTEs to the Leased Premises by or before March 31, 2018, (a) Fuzic shall reimburse the Corporation any portion of the Commercial Grant provided by the Corporation to Fuzic (the “Reimbursement Amount”); and (b) the Corporation shall not be obligated to issue Fuzic any additional portion(s) of the Commercial Grant.
Fuzic hereby acknowledges and agrees that the Commercial Grant may only be used for Approved Costs.
