Comment Deadline means (x) the one-hundred twentieth (120th) calendar day following the Closing Date if the Initial Registration Statement and the New Registration Statement, if any, are on Form S-3 or (y) the one-hundred fiftieth (150th) calendar day following the Closing Date if the Initial Registration Statement or the New Registration Statement are on Form S-1.

Examples of Comment Deadline in a sentence

  • If Purchaser does not deliver such report to Seller on or before the Purchaser Comment Deadline, Purchaser shall be deemed to have agreed with Seller’s Final Settlement Statement, and such Final Settlement Statement shall become final and binding upon the Parties.

  • Within ten (10) days after the earlier of (i) the Purchaser Comment Deadline without delivery by Purchaser to Seller of any written report with respect to the Final Settlement Statement under Section 8.4(b) or (ii) the date on which the Parties or the Accounting Arbitrator, as applicable, finally determine the Purchase Price (any such finally determined amount, the “Final Price”), the Parties shall true up on such final determinations.
