Buyer, Company and Stockholders will cooperate in obtaining all Required Consents and COMFER Approvals, but will not be required to agree to any changes in, or the imposition of any condition to the transfer to Buyer which may imply a material modification to the Company Business and/or to the conditions or Sections of this Agreement.
Each of the Issuers shall have executed and delivered to the Administrative Agent an irrevocable power of attorney, in form and substance satisfactory to the Administrative Agent, pursuant to which each such Person shall have granted to the Administrative Agent and its Affiliates and authorized representatives the authority to review the records of COMFER relating to it.
