The Net Collections Statement shall be based on Seller's and TransWestern's books and records and customer checks, bank statements and other documentation then available and provided to TransWestern by Seller and, if applicable, Shareholder at TransWestern's request.
TransWestern and Sellers will make available to the Independent Accounting Firm at reasonable times and upon reasonable notice during the pendency of any dispute under this clause (b) the work papers and back-up materials used in preparing the Net Collections Statement and the books and records of Sellers and shall have the right to meet with the Independent Accounting Firm during this period and to present their respective positions.
