Collection Shortfall definition

Collection Shortfall. As of any Determination Date, with respect to a Receivable, if the amounts deposited into the Collection Account during a Monthly Period in respect of such Receivable and allocable to interest (determined in accordance with Section 4.3) is less than the interest accrued on such Receivable (for the number of calendar days in such Monthly Period) (calculated according to the method specified in the related retail installment sale contract or promissory note at the APR on the Principal Balance of such Receivable as of the Accounting Date for the immediately preceding Monthly Period), the amount of such shortfall.
Collection Shortfall has the meaning set forth in Section 11.9(b). "Closing" has the meaning set forth in Section 4.1. "Closing Date" has the meaning set forth in Section 4. 1.
Collection Shortfall is defined in Section 2.13(c).

  • The Parties agree to treat the payment of the amount of the Collection Excess or Collection Shortfall, as applicable, for all Tax purposes as an adjustment to the Purchase Price to the extent permitted by applicable Law.
