Collateral Material means any linguistic or non-linguistic material, written or recorded, or information or content which Purchaser puts at the disposal of Supplier for the purpose of performing the Agreement, including, but not limited to: source files, target files, translation memories, terminology databases, documentation of any kind, drawings, technical documents, software, programs or other data-bearing media in whatever format.

• Licensee shall submit for Licensor's prior written approval all samples, prototypes, layouts and production ready samples for the Products and Collateral Material s at all stages of production and all hang tags, labels, packaging, advertising and promotional materials pertaining to the Products.

• LIBERTY may, in its sole discretion, change or discontinue any Collateral Material, in which case LIBERTY shall give Producer notice consistent with such action or requirement.

• No training, circulars, printed forms, booklets, pamphlets, advertising or other printed material, including without limitation, web pages and internet sites, about LIBERTY, the Products and/or this Agreement ("Collateral Material") shall be used, issued or circulated by Producer, unless approved in writing and specifically authorized by LIBERTY.

• The Borrower has not received any written notice from the FAA, other applicable U.S. Governmental Authorities or U.S. Airport Authorities, and is not otherwise aware of any other event or circumstance, that would be reasonably likely to impair in any material respect its right to hold and operate any Pacific Route FAA Slot, except for any such impairment that, either individually or in the aggregate, would not reasonably be expected to have a Collateral Material Adverse Effect.

• Lucent shall have the right to make reasonable numbers of copies of Collateral Material in any form for use in accordance with its rights under this Agreement.

• The Borrower has not received any written notice from any applicable Foreign Aviation Authorities, and is not otherwise aware of any other event or circumstance, that would be reasonably likely to impair in any material respect its right to hold and operate any such Pacific Route Foreign Slot, except for any such impairment that, individually or in the aggregate, would not reasonably be expected to have a Collateral Material Adverse Effect.
