The term “Partner” shall mean: (a) any third party with whom Company or its Affiliate enters into a written agreement under which Company or its Affiliate grants such third party any right or license to develop or commercialize any Partner Product, but excluding Sublicensees; or (b) any Collaborative Partner.

The foregoing license grant in Section 2.1.10 hereof includes the right of SomaLogic to grant sublicenses to its Affiliates and any SomaLogic Collaborative Partner, provided, that, each such sublicense shall be limited to programs directed to the research, discovery, development, or commercialization of products within the Gilead-SomaLogic Field and the field of any license granted to SomaLogic hereunder.
