Collaboration Programs means the two Initial Collaboration Programs, as may be replaced from time to time during the Research Term by Replacement Collaboration Programs in accordance with Section 2.3.1, and shall in each case involve preclinical, clinical and development activities directed by the Joint Steering Committee and undertaken by the Parties to develop [***] Bi-Specific APIs and/or [***] Bi-Specific Products from the relevant [***] Bi-Specific Candidate(s). For the avoidance of doubt, when a Collaboration Program is replaced in accordance with Section 2.3, such Replaced Collaboration Program shall no longer be considered a Collaboration Program. ***Certain information on this page has been omitted and filed separately with the Commission. Collaboration Programs means the development programs directed to the Terminated Products as set forth in an agreed Development Plan with respect to such Terminated Products under the Collaboration Agreement.

• Subject to the terms and conditions of this Agreement, on a Collaboration Program-by-Collaboration Program basis, effective during the Option Period with respect to a Collaboration Program, Voyager hereby grants Genzyme a non-transferable (except as provided in Section 17.1 (Assignment)), sublicensable (subject to Section 11.1.5 (Genzyme Sublicense Rights)), worldwide, non-exclusive license under the Voyager Licensed Technology to Develop Collaboration Products and conduct Collaboration Programs.

• During the Research Term CRISPR and Vertex will conduct Collaboration Programs, each under a separate Research Plan, focused on the design and optimization of Licensed Agents and Products for a specific Collaboration Target.

• The Parties hereby establish a Development Advisory Committee (a “DAC”) as a subcommittee of the AJSC to facilitate the Collaboration with respect to Collaboration Programs and Collaboration Products.

• The DAC shall have primary oversight responsibilities for the conduct of the Collaboration Programs in accordance with Section 9.2 (Development Advisory Committee).

• A task in NA2 (NA2.4 – Collaboration Programs) is explicitly foreseen in order to establish and maintain this type of collaborations.
