CODI definition

CODI means cancellation of indebtedness income as determined under Sections 61(a)(12) and 108(a) of the Code and the Treasury Regulations thereunder.
CODI has the meaning set forth in the first paragraph hereto.

CODI means (x) the gross amount of any U.S. federal taxable income of Seller or any Affiliate of Seller to the extent resulting from thedischarge of indebtedness,” within the meaning of Section 61(a)(11) of the Code and Treasury Regulations Section 1.61-12 that occurs, solely with respect to the Bridge Bonds (including, for the avoidance of doubt, the Exchange Company Notes exchanged therefor), as a result of (I) any significant modification (as defined by Treasury Regulations Section 1.1001-3) arising in connection with completing the Exchange Offer and/or (II) the consummation of the Bridge Bond Exchange and the Transferred Equity Purchase as contemplated in the Exchange Offer Memorandum and in connection with the Transactions and (y) any amounts that would have constituted income described in clause (x) but was excluded from income under Section 108(a) of the Code resulting in a reduction in Income Tax attributes under Section 108(b) of the Code.
