Customer may not use the results of operating the Licensed Product to correct any bugs or defects in Customer’s Code Base (“Production Use”).
If Customer engages in Production Use, Customer shall be deemed to have consented to purchase a twelve (12) month term license to the Licensed Product at Black Duck’s then-current list price for the total capacity of the Code Base that the Licensed Product was used on.
If DCYF ends its relationship with Contractor, then DCYF would also simultaneously end its membership with the ECIDS Network and its access to future Common Code Base additions and enhancements.
DCYF hereby agrees that in the event it selects this option (to continue use of the Common Code Base without Contractor involvement), DCYF shall be solely responsible for its use of and modifications to the Common Code Base, including but not limited to all results obtained from such use.
If and to the extent required by the Internal Revenue Code, Base Salary and bonuses shall be subject to withholding and deductions for all applicable taxes.
If Customer assigns this Agreement as described in this Section, additional business terms may apply to the acquiring company (e.g., limitations on the size of the Managed Code Base) as further described in the applicable Supplement.
Coverity does not warrant that the Software will meet your requirements, that the Software will operate in combinations with equipment, devices, software or systems provided by persons other than Coverity, that the operation of the Software will be error-free or uninterrupted, or that the Software will discover all errors and vulnerabilities that may reside in the Code Base.
Notwithstanding the above, if you merge with another company or are acquired, the surviving entity may continue to use the licenses to the Software licensed to you under accepted Order Schedules, upon prior written notice to Coverity, in compliance with the terms and conditions of this Agreement and solely with regard to the applicable authorized Code Base existing as of the time of the transaction.
An "Order Schedule" is a document from Coverity or its authorized distributor which references the applicable Coverity Product License Agreement and identifies the specific Software and rights being licensed to you under those terms, including the License Type, quantity, license term, territory and the Code Base.
Following the expiration of the Term, DCYF will have certain rights in and to the Programs and Common Code Base in accordance with Schedule 2.
