COC Policy definition

COC Policy means the Company’s Change of Control and Severance Policy.
COC Policy means the change of control policy of the Company as amended and restated on May 15, 2009.

Examples of COC Policy in a sentence

  • If the COC Policy has been terminated, references to the COC Policy shall mean the COC Policy as in effect immediately prior its termination.

  • In the event you (i) become entitled to “Separation Benefits” pursuant to the COC Policy, (ii) terminate employment for any reason during the one-year period following a Change of Control or (iii) become entitled to payments pursuant to this Section 10.7, you shall be released from your obligations pursuant to Section 8.1 upon your termination of employment (or upon the Change of Control if such termination occurs during the specified period prior to the Change of Control).

  • In the event Employee (i) becomes entitled to “Separation Benefits” pursuant to Section 3.2 of the COC Policy or (ii) terminates employment for any reason during the one-year period following a Change of Control, Employee shall be released from Employee’s obligations pursuant to Section 8.1 upon Employee’s termination of employment (or upon the Change of Control if such termination occurs during the specified period prior to the Change of Control in accordance with the COC Policy).

  • Any payments or benefits paid or provided to you under Section 10 of this Agreement shall be reduced by any cash severance payments or equity acceleration benefits paid or provided under the COC Policy or any equity award agreement.

  • Upon being designated a participant in the COC Policy, you will be asked to sign a participation agreement that sets forth your rights under the COC Policy.

  • As of the Effective Date, Employee shall continue to be designated as a participant in the COC Policy as such policy may be amended by the Company from time to time.

  • Accordingly, your potential severance and change in control benefits and the terms and conditions thereof shall be set forth in the COC Policy.

  • In the event of a Qualifying Termination (as defined in the COC Policy), no severance payments will be made under the terms of this paragraph.

  • You will be permitted to participate in the Company’s Change of Control and Severance Policy (“COC Policy”) under which you will be eligible to receive certain severance payments and benefits in the event of your Qualifying Termination (as defined in the COC Policy).

  • Upon approval from the Zscaler Board of Directors, you will be permitted to participate in the Company’s Change of Control and Severance Policy (“COC Policy”) under which you will be eligible to receive certain severance payments and benefits in the event of your Qualifying Termination (as defined in the COC Policy).

Related to COC Policy

  • R&W Policy means the buyer-side representation and warranty insurance policy as may be issued to Purchaser in connection with this Agreement.

  • RWI Policy has the meaning set forth in Section 6.16.

  • ▇▇▇▇▇▇▇ ▇▇▇▇▇▇▇ Policy means the written policy of the Company pertaining to the sale, transfer or other disposition of the Company’s equity securities by members of the Board, officers or other employees who may possess material, non-public information regarding the Company, as in effect at the time of a disposition of any Stock.

  • D&O Policy has the meaning set forth in Section 6.18(b).

  • Clawback Policy is defined in Section 14.
