Co-Marketer definition

Co-Marketer means any co-marketer, co-detailer, marketing partner, distributor, wholesaler, consignee or other person or entity acting under an arrangement that is the functional equivalent of a license or sublicense, but excluding distribution, wholesaling and consignment arrangements where the distributor, wholesaler or consignee is not obligated, in addition to selling a Product, to undertake any significant promotional or similar marketing efforts with respect to the Product.
Co-Marketer is defined in Section 3.3.
Co-Marketer means a third party that makes or sells a Licensed Product or a Licensed Service developed by Company and does so for the benefit, in whole or in part, of the Company but only where such third party qualifies for and has actually entered into, in advance, a Co-Marketer License under Section 2.4 of this Agreement or is otherwise licensed in writing by CSHL to do so.

Examples of Co-Marketer in a sentence

  • If Licensor does not object to any proposed Co-Marketer within ten Business Days following receipt of all information requested pursuant to the preceding sentence, Licensor shall be deemed to have approved the proposed Co-Marketer.

  • The right under this Section 3.3 is a right to co-market the Authorized Services with the services or products of an approved Co-Marketer and in no event shall this Section 3.3 be interpreted to expand the scope of the Authorized Services that may be offered and sold under the Licensed Marks.

  • In the event that Licensee or any Company Affiliate proposes to enter into an agreement with any Co-Marketer involving any use of any Licensed ▇▇▇▇, Licensee shall submit to Licensor a written request for approval of such Co-Marketer including a template or mock-up or representative sample demonstrating such intended use, whereupon Licensor may request such additional information as it may reasonably deem relevant to evaluating such request.

  • The payments in Section 2.3 and this Section 2.4 shall begin on the Effective Date of each such Additional Research License or Co-Marketer License.

  • Should ACTII ever fail to supply any or all of Amylin’s (as well as any Affiliate, sublicensee or Co-Marketer of Amylin’s) needs for Four-Week Exenatide LAR to the extent Amylin has forecasted such needs, ACTII shall have the first right to secure a third party to manufacture that amount of Four-Week Exenatide LAR which ACTII has failed or anticipates failing to supply.

  • Co-Marketer agrees not to apply for registration of the E*TRADE Marks (or any ▇▇▇▇ confusingly similar thereto) anywhere in the world.

  • CSHL agrees to grant a non-exclusive license in the Therapeutic Field (to develop, make, have made, use, market, and sell only), under substantially similar terms as are in this Agreement (including but not limited to the royalty provisions in Section 4.5), to up to three (3) companies that qualify as Co-Marketers, except that each such Co-Marketer Licensee shall also pay CSHL a License Fee of $250,000 and a License Maintenance Fee of $75,000 per year.

  • Should ACTII ever fail to supply any or all of Amylin’s (as well as any Affiliate, sublicensee or Co-Marketer of Amylin’s) needs for Products to the extent Amylin has forecasted such needs, ACTII shall have the first right to secure a third party to manufacture that amount of Product which ACTII has failed or anticipates failing to supply.

  • Subject to the provisions of this Section 4, The Co-Marketer will be paid, upon execution of this agreement, a one time non refundable engagement fee of $40,000 and is entitled to receive commissions equal to ten percent (10%) of the net sales price of Van Nuys Studio and services sold to Customers during the term of this Agreement that are referred to the Company by the Co-Marketer.

  • In the event that more than *** --------------------------- (***) of all subscribers to the Co-Marketer service from the E*TRADE Offer decline the internet access services as provided in Exhibit A hereto, the parties agree to renegotiate in good faith the price of Subscription Blocks to be paid by E*TRADE.
