CMX or the "Corporation" means CMX Gold & Silver Corp. (formerly known as Liard Resources Ltd.), a corporation incorporated under the ABCA;
CMX means the Connected Mobile Experience (CMX) features of the Hosted Software.
CMX or the "Corporation") proposes to raise funds through the sale and issue (the "Offering") of units of the Corporation (the "Units"), at a price of $0.15 per Unit, to public purchasers (the "Subscribers") of a minimum of 20,000000 Units for total gross proceeds to the Corporation of $3,000,000 (the "Minimum Offering") and a maximum of 28,000,000 Units for total gross proceeds to the Corporation of $4,200,000 (the "Maximum Offering"). Each Unit is comprised of one common share in the capital of the Corporation ("Common Share") and one transferable common share purchase warrant (a "Warrant"). Capitalized terms not otherwise defined herein are defined in Section 1 below. The Agent also understands that the Corporation has prepared and filed the Preliminary Prospectus and all necessary related documentation with respect to the Units with the Securities Commissions in the Selling Jurisdictions. The Agent also understands that the Corporation intends to file, without delay and on the terms and conditions set out herein, with the Securities Commissions the Prospectus and all necessary related documentation in order to qualify the Units for distribution in each of the Selling Jurisdictions.   • CMX may provide a portion of its funding obligation by means of goods and services required for the production of the Picture.

  • LICENSEE shall furnish QUALCOMM within [***] after the end of each calendar quarter a report, signed by a responsible official of LICENSEE, showing the transactions and corresponding CMX, MMV and QBT Unit volumes during said calendar quarter and any other information as may be reasonably requested by QUALCOMM.
