CMS Clinical Study definition
CMS Clinical Study means a type of Post-Marketing Clinical Study of the Product that is a CMS-initiated study that is sponsored and conducted by CMS or conducted on behalf of CMS by a CMS Affiliate such as KANGZHE or a Third Party. A list of Essential Documents for a CMS Clinical Study is set forth in EXHIBIT D-1. For the avoidance of doubt, a CMS Clinical Study shall not include a CSSC.

The proposal provided by CMS, and approved and accepted by ▇▇▇▇, of a clinical development plan or study plan for the Post-Marketing Clinical Studies of the Products (except for ISCS) shall be executed by CMS with commercially reasonable efforts binding on the Parties if it is compliant with this Agreement, and shall constitute the clinical development plan or study plan for the respective CMS Clinical Study or CSSC.
