CMS Business definition

CMS Business has the meaning set forth in the Separation and Distribution Agreement.
CMS Business means the business of the distribution of aerospace fasteners and consumables and the provision of logistics and technical services, in each case to the airline, aerospace and energy services industries.
CMS Business means the provision of medical rehabilitation programs and services (whether in an inpatient or outpatient setting or on a contract services basis), the provision of therapy services and locum tenens services, the ownership and operation of nursing homes and the provision of management services for healthcare institutions, physicians and other providers, including the operation of inpatient and outpatient centers, residential care centers, transitional living centers and ambulatory surgery centers, the provision of home healthcare, diagnostic testing and laboratory services, and the provision of practice management and other healthcare provider management services, and activities incidental to or supporting the competitive position of Horizon and the Subsidiaries in any such businesses.

Examples of CMS Business in a sentence

  • The employment of each CMS Business Employee who is employed by a member of the B/E Group shall be assigned and transferred to KLX or a member of the KLX Group.

  • Former employees of the KLX Group as of the Distribution Date shall be deemed to include all employees who, as of their last day of employment with all of KLX, B/E and their respective Affiliates, had employment duties primarily related to the CMS Business (collectively, the “Former KLX Employees”).

  • KLX shall be responsible for any and all Federal Other Taxes attributable to the CMS Business.

  • KLX shall be responsible for any and all State Other Taxes attributable to the CMS Business.

  • The KLX Group’s right to use and access the Shared Real Property shall be consistent with the use and access of such Shared Real Property in the conduct of the CMS Business as of the Distribution Date, and shall include the right to use and access the fixtures, improvements and furnishings located within the Shared Real Property consistent with the manner of such use and access as of the Distribution Date.

  • E hereby grants KLX and the other members of the KLX Group a limited, nontransferable and non-sublicenseable license for reasonable use and access to the space utilized by B/E (or any of its Affiliates) in the conduct of the CMS Business as of the date of this Agreement at each of the locations listed on Schedule D hereto (collectively, the “Shared Real Property”) for the sole purpose of transitioning the CMS Business and in accordance with the terms, covenants and conditions hereof.

  • KLX shall be responsible for any and all Foreign Other Taxes attributable to the CMS Business.

  • KLX shall ensure that all use of the B/E Names and Marks by the KLX Group as provided in this Section 6.01 shall be only with respect to goods and services of a level of quality equal to or greater than the quality of goods and services with respect to which the B/E Names and Marks were used in the CMS Business prior to the Distribution Date.

  • It is furthermore agreed that the LICENSOR reserves the right to intervene at their cost and risk.

  • The CCIIO, as the CMS Business Owner (BO), is responsible for the management and oversight of CMS’s Health Insurance Exchange Hub system, which is the CMS information system that requires the interconnection with the Non-CMS Organization.
