Cloud Workspace Solution means that element of service that Licensee creates for the purposes of providing virtualized resources, application workloads, end-user application interactions, software defined data centers, and computer systems orchestration and automation for resale or direct end-user purposes using some or all components of Cloud Workspace.

  • Upon determining in good faith that a material breach of this Agreement or BTA by Licensee has occurred or at any time IIT determines in good faith that any act or omission by Licensee may have a material adverse effect on IIT’s business operations, IIT shall have the right to suspend Licensee’s access to the Cloud Workspace, Cloud Workspace API or Cloud Workspace Solution (or related data or information) until such time as such breach or condition is cured or resolved to the IIT’s satisfaction.

  • To the extent that Licensee contributes, in whole or in part, to any derivatives, improvement(s) or modification(s), or makes any suggestions, enhancement requests, recommendations, comments, feedback, ideas or the like, to the Cloud Workspace or Cloud Workspace Solution (“Improvements”), Partner and Advocate hereby assigns to CloudJumper all right, title and interest in and to such Improvements.

  • Licensee’s license to use the Cloud Workspace, as it applies to accessing the Cloud Workspace Solution, shall be limited to offering Users a personal, royalty-free, non-exclusive, non-assignable, non-transferable right to use the Software provided as part of the Cloud Workspace.

  • CloudJumper may compile aggregate data and other statistical information related to Licensee’s use of the Cloud Workspace or Cloud Workspace Solution (including performance metrics) and may make such information publicly available and/or use and disclose the same as part of the Cloud Workspace or Cloud Workspace Solution or otherwise, provided that such information does not incorporate Licensee’s Confidential Information or Licensee’s name.

  • Any derivatives, improvement(s) or modification(s) to the Cloud Workspace or Cloud Workspace Solution created, conceived, made or discovered in the performance of this Agreement shall be owned solely and exclusively by CloudJumper.

  • Licensee may provide feedback, suggestions, evaluations or improvements (collectively, “Feedback”) regarding or relating to the Cloud Workspace or Cloud Workspace Solution.

  • Licensee’s license to use the Cloud Workspace, as it applies to accessing the Cloud Workspace Solution, shall be limited to offering Users a personal, royalty-free, non-exclusive, non- assignable, non-transferable right to use the Software provided as part of the Cloud Workspace.
