Cloud GTC definition

Cloud GTC means version of SAP’s General Terms and Conditions for Cloud Services for Germany and the Supplemental Terms, and all documents attached to or incorporated by reference therein. The Cloud GTC is available at xxxx://xx.xxx.xxx/about/agreements/general-terms-and-conditions.html?general_terms_and_conditions=cls, current as of the effective date of the execution of the Order Form, as applicable, except to the extent inconsistent with this Agreement.

Cloud GTC means SAP’s General Terms and Conditions for Cloud Services and the product specific Supplemental Terms and Conditions referred to in the Order Form, and all documents attached to or incorporated by reference therein. “Cloud Materials” means any work product or tangible results for the Services produced by or with SAP pursuant to this Agreement, including in the course of providing support, training or configuration services to BPO or its Customers. Cloud Materials includes works created for or in cooperation with BPO or its Customers, but does not include any Customer Data, BPO Confidential Information, Customer Confidential Information, the BPO Services or the Service. For clarity, some SAP services for Cloud Materials may be performed under a mutually agreed to statement of work. If so, the statement of work will be governed by the terms and conditions of this Agreement. “Confidential Information” means, with respect to SAP: (a) the Services and all information which SAP protects against unrestricted disclosure to others, including but not limited to all (i) computer software (both object and source codes) and related Service documentation or specifications, (ii) techniques, concepts, methods, processes and designs embodied in or relating to the Service and (iii) all application program interfaces, system infrastructure, system security and system architecture design relating to the Service; and (b) SAP research and development, product offerings, pricing and availability, technical drawings, algorithms, processes, ideas, techniques, formulas, data, schematics, trade secrets, know-how, improvements, marketing plans, forecasts and strategies. Confidential Information of BPO is deemed to include Customer Data. In addition to the foregoing, Confidential Information of either SAP or BPO (the party disclosing such information being the “Disclosing Party”) may also include other information which the Disclosing Party protects against unrestricted disclosure to others that (i) the Disclosing Party or its representatives designates as confidential at the time of disclosure; or (ii) should reasonably be understood to be confidential given the nature of the information and the circumstances surrounding its disclosure, including, without limitation, information about or concerning any third party that is disclosed to the receiving party under this Agreement. “CPPD Schedule” means SAP’s then-current SAP BPO Cloud Service Schedule for Commissioned Processing of Pers...

Examples of Cloud GTC in a sentence

  • This Section 3.1 supersedes any conflicting term in these Cloud GTC.

  • SAP will inform Customer about the change of the Cloud GTC in writing.

  • If, in this case, Customer does not expressly disagree in writing within four weeks after receipt of the change notice, the change will be deemed to be effected and from this point in time, the changed version of the Cloud GTC is binding for the existing agreements between SAP and Customer.

  • These Cloud GTC can be changed with regard to the provision and support of the Cloud Service, in accordance with the sentences below provided that the change does not have any impact on the contractual content that is material for the equivalency of Cloud Services and support and their remuneration between the parties and provided that such change is reasonably acceptable for Customer.

  • The provision on confidentiality as detailed in section 11.1 of the Cloud GTC.

  • If SAP is required to pay service level credits due to SAP not meeting its system availability as further set out in the SLA and Cloud GTC, SAP will issue those service level credits to Partner in the next quarterly invoice.

  • This section3.2 supersedes any conflicting term in these Cloud GTC.

  • The provision on SAP’s IP Rights as detailed in section 10.1 of the Cloud GTC, clarifying the Partner’s position as reseller.

  • The SLA referenced in section 3.2 of these Cloud GTC does not apply to these components.

  • The provision on notifications as detailed in section 12.4 of the Cloud GTC.

Related to Cloud GTC

  • Cloud means data storage on servers hosted by an entity other than the Contractor and on a network outside the control of the Contractor. Physical storage of data in the cloud typically spans multiple servers and often multiple locations. Cloud storage can be divided between consumer grade storage for personal files and enterprise grade for companies and governmental entities. Examples of consumer grade storage would include iTunes, Dropbox, Xxx.xxx, and many other entities. Enterprise cloud vendors include Microsoft Azure, Amazon Web Services, and Rackspace.

  • AMC means Annual Maintenance Contract
