Closing Room has the meaning set forth in Section 2(b).

If any person entitled to receive documentation or certificates on the Escrow Release Date is not represented in person at the Closing Room by counsel or other representatives so identified by Parent and MHRx, Parent and MHRx shall provide joint written instructions to the Escrow Agent directing the Escrow Agent to deliver such items to such persons via deposit with a nationally recognized overnight courier on the Escrow Release Date.
