Closing Date Data means (i) the data file containing the electronic Record and Accounts Receivable balance of each of the Vehicle Contracts and (ii) the Excel file containing the electronic Record and balance of each Dealer’s Dealer Reserve, in each case, as transferred as part of the Purchased Assets and prepared as of the Closing Date.
