Closing Date Balance definition

Closing Date Balance means the total current assets, including the cash and cash equivalents of the Company, set forth on the Closing Date Balance Statement less the Company Liabilities set forth on the Closing Date Balance Statement.
Closing Date Balance. SHEET shall have the meaning given to it in Section 2.4. COBRA shall mean the Consolidated Omnibus Budget Reconciliation Act of 1985, as amended, as set forth in Section 4980B of the Code and Part 6 of Subtitle B of Title I of ERISA. CODE shall mean the Internal Revenue Code of 1986, as the same has been amended, and the rules and regulations thereunder, all as from time to time in effect, or any successor law, rules or regulations, and any reference to any statutory or regulatory provision shall be deemed to be a reference to any successor statutory or regulatory provision. COLLATERAL DOCUMENTS shall mean the Synagen Promissory Note, the Bishxx Xxxmissory Note, the Heggxxxxx Xxxmissory Note, the Bishxx Xxxloyment Agreement, the Beach Employment Agreement and any other agreement, certificate, contract, instrument, notice or other document delivered pursuant to the provisions of this Agreement or any Collateral Document. CONFIDENTIAL INFORMATION shall have the meaning given to it in Section 7.1.
Closing Date Balance shall have the meaning assigned thereto in Section 2.4 of this Agreement.
