Closing Data Tape definition

Closing Data Tape means, with respect to any Transaction as of any Purchase Date, a computer tape or other electronic medium generated by Seller or any of its Affiliates and delivered to Buyer and Custodian, which provides, with respect to each Purchased Asset that is the subject of such Transaction, each of the data fields set forth on Exhibit B attached hereto and the information responsive to each such field, as well as any and all new, modified or updated information with respect to such Purchased Asset that has been provided to Buyer prior to the applicable Purchase Date and as to which the Purchase Price or any other information set forth in the Transaction Request and Confirmation for such Transaction has been based, in each case in a format that has previously been approved by Buyer and is otherwise acceptable to Buyer.
Closing Data Tape means the data file including all Projects and Leases as of August 30, 2018 (a) showing Host Customer address and FICO, Monthly Lease Payment, Remaining Contract Term, Placed in Service Date, System Size, System Production and percentage of customer savings and (b) otherwise in form and substance satisfactory to the Lender, which is contained in file number “2.
Closing Data Tape means, with respect to any Transaction as of any Purchase Date, a computer tape or other electronic medium generated by a Seller or any of its Affiliates and delivered to Buyer and Custodian, which provides, with respect to each Purchased Asset that is the subject of such Transaction, each of the data fields set forth on Exhibit C attached hereto and the information responsive to each such field, as well as any and all new, modified or updated information with respect to such Purchased Asset that has been provided to Buyer prior to the applicable Purchase Date and as to which the Purchase Price or any other information set forth in the Purchase Confirmation for such Transaction has been based, in each case in a format that has previously been approved by Buyer and is otherwise acceptable to Buyer.

  • Delivery to the Lender of the Closing Data Tape, in form and substance satisfactory to the Lender.

Closing Data Tape means, with respect to any Transaction as of any Purchase Date, a computer tape or other electronic medium generated by Seller or any Affiliate and delivered to Buyer and Custodian, which provides, in all material respects (but in all events consistent with market standards), with respect to each Purchased Asset that is the subject of such Transaction, each of the data fields set forth on Exhibit B attached hereto and the information responsive to each such field, as well as any and all new, modified or updated information with respect to such Purchased Asset that has been provided to Buyer prior to the applicable Purchase Date and as to which the Purchase Price or any other information set forth in the Transaction Request and Confirmation for such Transaction has been based, in each case in a format that has previously been approved by Buyer (such approval not to be unreasonably withheld, conditioned or delayed) and is otherwise reasonably acceptable to Buyer.

Closing Data Tape means, with respect to any Advance as of any Utilisation Date, a computer tape or other electronic medium generated by the Borrower and delivered to the Lender and the Document Custodian, which provides, with respect to each Eligible Asset that is the subject of such Advance, each of the data fields set forth in Schedule 12 (Form of Closing Data Tape) and the information responsive to each such field, as well as any and all new, modified or updated information with respect to such Eligible Asset that has been provided to the Lender prior to the applicable Utilisation Date and as to which the Advance Rate or any other information set forth in the Utilisation Request for such Advance has been based, in each case in a format that has previously been approved by the Lender and is otherwise acceptable to the Lender.

Closing Data Tape means, with respect to any Transaction as of any Purchase Date, a computer tape or other electronic medium generated by a Seller or any Affiliate and delivered to Administrative Agent and Custodian, which provides, with respect to each Purchased Asset that is the subject of such Transaction (or, in the case of any Transaction that includes a request for a Purchase Price Increase for any Mezzanine Loan Subsidiary Interest, with respect to the related Contributed Mezzanine Loan), each of the data fields set forth on Exhibit B attached hereto and the information responsive to each such field, as well as any and all new, modified or updated information with respect to such Purchased Asset or Contributed Mezzanine Loan that has been provided to Administrative Agent prior to the applicable Purchase Date and as to which the Purchase Price (or Purchase Price Increase, as the case may be) or any other information set forth in the Transaction Request and Confirmation for such Transaction has been based, in each case in a format that has previously been approved by Administrative Agent and is otherwise acceptable to Administrative Agent.
