Sponsor may cancel all or part of this Agreement at any time upon 30 days prior written notice to CLOC.
EXCEPT FOR GDPR AND OTHER DATA PRIVACY LAW VIOLATIONS, EACH PARTY’S LIABILITY ARISING OUT OF THE AGREEMENT IS LIMITED TO THE AMOUNT OF THE SPONSORSHIP FEES PAID TO CLOC UNDER THIS AGREEMENT.
When using your DC to make a purchase, the transaction is authorized based on your Available Balance plus any Checking Protection option (OOPS or CLOC) you have enrolled in at the time of the purchase.
Purchase transactions with cash back are posted against checking accounts only and your CLOC.
Notwithstanding the foregoing, Sponsor acknowledges and agrees that the Sponsorship Fee is non-refundable under any circumstances and Sponsor shall be responsible for all costs and other expenses incurred by CLOC in connection with any such cancellation including, without limitation, all costs associated with removing Sponsor’s name, logo and other trademarks from all advertising, and other materials and the costs associated with, rerecording, or redoing such materials.
Except for the limited license granted above, Sponsor is granted no right, title or license to any CLOC Trademarks and Sponsor acknowledges CLOC’s sole and exclusive rights in and to the CLOC Trademarks.
Participants will not receive any honorarium, compensation, or other form of payment from CLOC, and will be responsible for all expenses incurred in connection with their participation.
All speakers, presenters, participants, and authors must sign a speaker/author/presenter agreement (or other agreement required by CLOC) with CLOC in the form provided by CLOC (“Speaker Agreement”).
If CLOC elects terminate this Agreement, CLOC will refund the Sponsorship Fee to Sponsor and will not be held responsible for other costs or expenditures incurred by Sponsor.
Materials developed by a Sponsor and/or the speaker/author/presenter in connection with a sponsorship opportunity (including webinars, blog posts, forewards, podcasts, speeches and other materials) that are not submitted by the deadline established by CLOC or that fail to meet CLOC’s standards or requirements may not (and will not) be used and may result in the loss of such opportunity.
