MRK will retain full ownership of all Clinical Trial data, Clinical Trial Samples and any other data and information obtained or otherwise resulting from the Clinical Trials and all Regulatory Approvals and applications therefore with respect to the Drug.
VIVUS shall supply ▇▇▇▇▇▇▇ with quantities of Product sales samples ("Promotional Samples"), and with quantities of Product reasonably necessary for ▇▇▇▇▇▇▇ to conduct clinical trials ("Clinical Trial Samples") and quality assurance testing to verify that lots of Product supplied by VIVUS meet the applicable Specifications ("QA Samples") (collectively, "Samples"), all in such amounts as are mutually agreed.
MRK shall, upon written request from ArcherDX, provide to ArcherDX, in accordance with the Clinical Trial Protocol and the informed consent at no cost to ArcherDX, all Clinical Trial Samples and related patient data in MRK’s possession and Control necessary for ArcherDX to perform its Activities for each Project and obtain Regulatory Approval for the Product.
If GSK elects to exercise its right, on an R&D Program-by-R&D Program basis as set forth in Section 2.6.2, for GSK to analyze the Stage 3 Clinical Trial Samples obtained from the conduct of Stage 3 Clinical Trial activities under an R&D Program herein, GSK shall be solely responsible for the conduct of such analysis and no fees, except as set forth in Section 2.6.3, shall be owed to KineMed with respect thereto.
If, on an R&D Program-by-R&D Program basis GSK does not elect to analyze such Stage 3 Clinical Trial Samples, KineMed shall conduct the analysis of such Stage 3 Clinical Trial Samples for GSK on a fee-for-service basis in accordance with the applicable Pharmacological Validation Plan.
