Clinic Assets definition

Clinic Assets means all of Respondents’ rights, title, and interest in all property and assets, tangible or intangible, of whatever nature and wherever located, relating to or used in connection with the Emergency Veterinary Clinic or Specialty Veterinary Clinic of the Divestiture Clinics, including, without limitation, all:

  • The Clinic Assets constitute, in the aggregate, all of the property necessary for the conduct of the Practice in the manner and at the utilization levels at which the Practice is currently being conducted.

  • The Company has good title to all of the Clinic Assets free and clear of all liens, mortgages, pledges, security interests, encumbrances or charges of every kind, nature and description whatsoever, except those set forth in Section 4.10 of the Disclosure Schedule (all of which, except for the lien(s) to be released at or prior to the Closing as specifically listed in Section 4.10 of the Disclosure Schedule), are referred to herein as the “Permitted Liens”).

Related to Clinic Assets

  • Business Assets means all tangible and intangible property and assets owned (either directly or indirectly), leased, licensed, loaned, operated or used, including all real property, fixed assets, facilities, equipment, inventories and accounts receivable, by the Corporation and the Subsidiaries in connection with the Business;

  • Related Business Assets means assets (other than cash or Cash Equivalents) used or useful in a Similar Business; provided that any assets received by the Issuer or a Restricted Subsidiary in exchange for assets transferred by the Issuer or a Restricted Subsidiary shall not be deemed to be Related Business Assets if they consist of securities of a Person, unless upon receipt of the securities of such Person, such Person would become a Restricted Subsidiary.

  • Gross Assets means the total of fixed assets and current assets;

  • the Business means the usual work and activities carried on by the Insured pertaining to his business as specified in the Schedule and no others.

  • Cannabis business means any business activity involving cannabis, including but not limited to cultivating, transporting, distributing, manufacturing, compounding, converting, processing, preparing, storing, packaging, delivering, testing, dispensing, retailing and wholesaling of cannabis, of cannabis products or of ancillary products and accessories, whether or not carried on for gain or profit.
