Client Service Provider definition

Client Service Provider means an entity, if any, that provides information technology services for Client related to the Services.
Client Service Provider means a service provider, contractor or other third party who is engaged by or contracts with the Client to provide a managed or hosted solution to the Client to enable the Client to, inter alia, use the FMET Service.
Client Service Provider means Client’s third-party service provider.

  • If the Client does not, within seven (7) days of such demand provide adequate assurances satisfactory to Service Provider in response to any NSCC sanction, then, upon written notice to the Client, Service Provider may terminate the performance of any NSCC related services rendered to the Client under this Agreement immediately and without penalty.

  • If Service Provider transfers its business or any business segment that provides services to Client, Service Provider is authorized to transfer all user information to Service Provider's successor.

  • As a part of Service Provider's work for Client, Service Provider may create or come into possession of information or data which are trade secrets, know how, confidential information or otherwise considered secret by Client, including, but not limited to the Intellectual Property (hereinafter referred to collectively as "Confidential Information").

  • If (i) the Client fails to notify Service Provider about a settlement failure on a timely basis and (ii) the Client fails to deliver the remediation plan on a timely basis, or (iii) the remediation plan is inadequate (in Service Provider’s reasonable opinion), then, upon written notice to the Client, Service Provider may terminate the performance of any NSCC services rendered to the Client hereunder immediately and without penalty.

  • Should Service Provider fail to provide such report to Client, Service Provider will reimburse expenses up to $50,000 necessary to cover costs incurred by the Fund’s auditor in performing additional control testing.

  • As requested by Client, Service Provider shall furnish to Client quarterly financial certifications as have been previously provided to Client prior to the closing under the Merger Agreement or as may be requested by Client in connection with its financial reporting requirements.

  • If the Deposit Amount is paid by the Client, Service Provider will deduct the Shipping fees from it.

  • Upon receipt, Anchorage will custody the Digital Assets in Client’s name or Accounts established for the benefit of the Client, unless otherwise specified in (a) an applicable Client Service Provider Agreement, or (b) instructions provided by a Client Service Provider or a Control Party pursuant thereto.
