Client Party means any of SHL's agents, suppliers, contractors and sub-contractors of any tier, any SHL Affiliate, any owner or landlord of Premises, and in relation to each of the above its or their directors, officers and employees, and residents at any Premises, but excluding the Supplier and any Supplier Party and "Client Parties" shall be construed accordingly;

• If any action is brought against any of the Client Parties in respect of which indemnity may be sought hereunder, the Client Party shall promptly notify the Co-Manager or Co-Managers, as applicable, in writing of the institution of such action, and the relevant Co-Manager or Co-Managers (i.e. the Co-Manager(s) whose actions or failure to act are alleged to have caused the loss) shall assume the defense of such action.

• In this Agreement: the “UST Group” means UST Global and its Affiliates; and the “Client Group” means the Client Party and its Affiliates.

• Client shall not cause or permit any Hazardous Materials to be brought upon, kept or used in or about the Premises or Building by Client or any Client Party in violation of any applicable laws.

• Client acknowledges and agrees that during the Term and for six (6) months thereafter, neither Client nor any Client Party will hire any of employees of HQ.

• Unless otherwise provided by local law, this Agreement is intended by the parties to it to be the overall framework document whose terms will be incorporated into each SOW for the delivery of services by UST Global and its domestic and international Affiliates to the Client Party and its domestic and international Affiliates.

• Should any claim be made against Client or any Client Party, or an action or proceeding be brought against it as set forth herein, Client shall give CIC prompt written notice thereof, and CIC shall defend such action or proceeding by counsel selected by CIC.

Client Party means the Client and/or any guest, employee, officer, representative, agent or contractor of the Client who attends the Facility or has a Ticket; “Event” means
