Client or Customer definition

Client or Customer means a company or individual that requests training and/or assessment and completes a course booking form online or by other approved formats agreed with CCTS or/and enters into any written or verbal contractual arrangement with us.

• Each Participant wishing to execute any Clearing Exempt Transaction on the SEF operated by BSEF must submit to BSEF documentation demonstrating its eligibility (or the eligibility of its relevant Client or Customer, if applicable) for a Clearing Exception (a “ Clearing Exception Form”) required by CFTC Regulations or CFTC Staff No-Action Letters prior to sending an RFQ or placing an Order subject to the Clearing Exception.

• A Participant shall submit to BSEF all documentation supporting its eligibility (or the eligibility of its relevant Client or Customer, if applicable) for the Clearing Exception.

• The acceptance of a Transaction for clearing shall not relieve any Participant, Client or Customer of the duty to act in good faith and with reasonable care and diligence.

• Eligibility for Clearing Exempt Transactions (a) Each Participant wishing to execute any Clearing Exempt Transaction on the SEF operated by BSEF must submit to BSEF documentation demonstrating its eligibility (or the eligibility of its relevant Client or Customer, if applicable) for a Clearing Exception (a “Clearing Exception Form”) required by CFTC Regulations or CFTC Staff No-Action Letters prior to sending an RFQ or placing an Order subject to the Clearing Exception.

• If a Participant, Sponsored Participant, Client or Customer believes that any Transaction was incorrectly executed, cleared or rejected from clearing as a result of an Error (as defined in Rule 5103.C.(f) below), such Person may, within ten (10) minutes thereafter, request a review of the Transaction by providing the USI for the Transaction and stating the grounds for the disagreement.

The Employee acknowledges and agrees that, during the term and for the twelve (12) months following termination of the Employee's employment with the Company, he shall notify anyone employing the Employee after his separation from the Company's employ or evidencing an intent to employ the Employee as to the existence of the provisions of this Section 6.3; provided, however, that the Employee shall not be required under this Agreement to notify an employer or potential employer of the provisions of this Section 6.3 if such employer does not engage in the Business in any material respect. The invalidity or unenforceability of any provision of this Agreement as applied to a particular occurrence or circumstance or otherwise shall not affect the validity, enforceability, and applicability of any other provision of this Agreement. The Employee asks any reviewing court to reform any restriction determined to be unenforceable due to its duration, geographic scope, or type of activity.
