Clearance Merchandise definition

Clearance Merchandise means any item of Merchandise sold at any time prior to the Sale Commencement Date at a discount of 50% or more from the original retail ticketed price.
Clearance Merchandise as to a Seller means merchandise that has been offered for sale at a point-of-sale discount equal to fifty percent (50%) or greater off such Seller’s normal selling price.
Clearance Merchandise has the meaning set forth in §2.12.

Examples of Clearance Merchandise in a sentence

  • With respect to Additional Clearance Merchandise received after January 3, 2005, but on or before the Store Receipt Deadline, “Retail Price” shall mean the Base Retail Price for such item applicable to the Store in which such item was received, multiplied by the inverse of the prevailing discount in such Store.

  • Any Additional Clearance Merchandise which is not received by the Stores before Store Receipt Deadline shall be excluded from the definition of Merchandise.

  • The Debtors will pay the Liquidation Consultant a Clearance Merchandise Base Fee that is equal to 1.5% of the Clearance Gross Proceeds, net of sales taxes.

  • If Merchant and Agent are unable to agree upon the Retail Price of any item of Near Date Merchandise or Defective Merchandise, or any item of Clearance Merchandise or Out of Season Merchandise which is not marked with a ticketed price, the Merchant may exclude such item from the Sale, and Merchant shall remove such item from the applicable Store as soon as practicable.

  • The Guaranteed Amount and the Recovery Amount will be calculated based upon the aggregate Retail Price of the Merchandise as determined by the aggregate amount of Gross Rings of Merchandise included in the Sale (as adjusted for shrinkage and the Global Inventory Adjustment per this Agreement), if applicable, and (C) the aggregate amount of any Additional Clearance Merchandise received in the Stores after the completion of the Inventory Taking at such Stores.
