Lead Agent has the meaning given to it above;
Bank Agent means the agent for the lenders under the Credit Agreement or its successors as agent for the lenders under the Credit Agreement.
DIP Agent means the administrative agent for the DIP Lenders as defined in the DIP Credit Agreement.
Second Lien Administrative Agent means the “Administrative Agent” as defined in the Second Lien Credit Agreement.
Prepetition Agent means Goldman Sachs Bank USA in its capacity as administrative agent and collateral agent under the Prepetition Credit Agreement.
Administrative Agent means Bank of America in its capacity as administrative agent under any of the Loan Documents, or any successor administrative agent.
Collateral Agent as defined in the preamble hereto.
First Lien Administrative Agent means the “Administrative Agent” as defined in the First Lien Credit Agreement.
Note Agent means any Registrar, Paying Agent or Conversion Agent.
the Agent means the estate agency described at paragraph 5 of the Schedule;
Second Lien Agent means the “Agent” under and as defined in the Second Lien Credit Agreement.
Canadian Agent as defined in the preamble hereto.
Security Agent means the Bond Trustee or any successor Security Agent, acting for and on behalf of the Secured Parties in accordance with any Security Agent Agreement or any other Finance Document.
Term Agent shall have the meaning assigned to that term in the introduction to this Agreement and shall include any successor thereto as well as any Person designated as the “Agent”, “Administrative Agent”, “Collateral Agent”, “Trustee”, “Collateral Trustee” or similar term under any Term Credit Agreement.
ABL Administrative Agent means Bank of America in its capacity as administrative agent and collateral agent under the ABL Facilities Documentation, or any successor administrative agent and collateral agent under the ABL Facilities Documentation.
US Agent means a person (as de- fined in section 201(e) of the act (21U.S.C. 321(e))) residing or maintaining a place of business in the United States whom a foreign facility designates as its agent for purposes of this subpart. AU.S. agent cannot be in the form of a mailbox, answering machine or service, or other place where an individual act- ing as the foreign facility’s agent is not physically present.
Verification Agent As defined in Section 3.28.
Administrative Agent Account an account designated by the Administrative Agent from time to time.
First Lien Agent has the meaning given to such term in the Intercreditor Agreement.
Credit Agent means JPMorgan Chase Bank, N.A., in its capacity as administrative agent for the lenders party to the Credit Agreement, or any successor or successors party thereto.
Creditor Representative means, with respect to Series 2021-1, the Indenture Trustee.
Administrative Agent’s Letter shall have the meaning specified in Section 10.9 [Administrative Agent’s Fee].
Collection Agent means at any time the Person then authorized pursuant to Section 6.01 to service, administer and collect Transferred Receivables.
Disbursement Agent means Deutsche Bank National Trust Company, a national banking association, and its successors in interest, as disbursement agent under the Custodial and Disbursement Agreement, and any successor Disbursement Agent under the Custodial and Disbursement Agreement.
Administrative Agent-Related Persons means Administrative Agent (including any successor agent), together with its Affiliates and the officers, directors, employees, agents and attorneys-in-fact of such Persons and Affiliates.
Applicable Agent means (a) with respect to a Loan or Borrowing denominated in US Dollars or any Letter of Credit, and with respect to any payment hereunder that does not relate to a particular Loan or Borrowing, the Administrative Agent and (b) with respect to a Loan or Borrowing denominated in any Alternative Currency, the London Agent.
