The Class E Notes, the Class S Notes and the Class X Notes will not be assigned a credit rating.
Prior to an Enforcement Notice, the Class S Notes will on each Notes Payment Date be redeemed in accordance with Condition 6(c) (Redemption of the Class S Notes) with an amount equal to the Available Revenue Funds remaining after all items ranking above item (s) of the Revenue Priority of Payments have been paid in full.
If the Class S Notes have been redeemed (in part or in full) and there is a shortfall in the amount available to the Issuer to pay interest and/or principal on the other Classes of Notes, this will result in the other Classes of Notes bearing a greater loss than that borne by the Class S Notes.
Upon redemption in full of such Classes of Notes, the Class S Notes are subject to redemption on such Notes Payment Date and on each Notes Payment Date thereafter in accordance with and subject to Condition 6(c) (Redemption of the Class S Notes) and Condition 9(b) (Principal).
The Class S Noteholders shall have no further claim against the Issuer for the Principal Amount Outstanding on the Class S Notes after the date on which the Issuer no longer holds any Mortgage Receivables and there is no balance standing to the credit of the Issuer Transaction Accounts and the Issuer has no further rights under or in connection with any of the Transaction Documents.
Unless previously redeemed in full, the Issuer will, in accordance with Condition 6(e) (Optional Redemption), have the option to redeem the Notes (but not some only), other than the Class S Notes and the Class X Notes, on each Optional Redemption Date, at their respective Principal Amount Outstanding, subject to, in respect of the Class E Notes, Condition 9(b) (Principal).
PML as Administrator (on behalf of the Issuer) will fund the General Reserve Fund from part of the proceeds of the Noteholders' subscription for the Class S Notes in an amount equal to the General Reserve Fund Required Amount as at the Closing Date.
The maturity of the Class S Notes and the Class X Notes will further depend on the amount and timing of payment of principal on the Bridge Mortgage Receivables.
Unless previously redeemed in full, the Issuer may at its option on each Optional Redemption Date redeem all (but not some only) of the Notes, other than the Class S Notes and the Class X Notes, at their respective Principal Amount Outstanding, subject to in respect of Class E Notes Condition 9(b) (Principal).
The remaining part of the proceeds of the Notes, other than the Class S Notes and the Class X Notes, being the Pre-funded Amount will be deposited in the Pre-funded Account on the Closing Date and will be available for the purchase of any New Mortgage Receivables on any Purchase Date during the Pre-funded Period.
