• Defendants have agreed to establish a Cash Fund of $3,750,000 to be divided as set forth below, to cover both the Claims Administrator Costs and Class Counsels attorneys’ fees and costs that may be awarded by the Court, as set forth below.

• Class Counsel's application for award of attorneys' fees and costs shall be heard at the time of the fairness hearing.
