Class B Effectiveness definition

Class B Effectiveness means the date of the filing of the Certificate of Incorporation with the Secretary of State of the State of Delaware in accordance with DGCL following receipt of Stockholder Approval.

  • Prior to the Class B Effectiveness, the parties hereto shall use their reasonable best efforts to cause the election, appointment and filling of vacancies of Directors to be as set forth in this Section 2.2.
