Class B-1 Noteholders definition

Class B-1 Noteholders means the holders of any Class B-1 Notes from time to time.
Class B-1 Noteholders means the Holders of the Class B-1 Notes."
Class B-1 Noteholders means the several persons who are for the time being the holders of the Class B-1 Notes, which expression shall, whilst any Class B-1 Regulation S Global Certificate and/or Class B-1 Rule 144A Global Certificate remains Outstanding, mean in relation to the Class B-1 Notes represented thereby, each person who is for the time being shown in the records of the Clearing System through which interests in the Class B-1 Regulation S Global Certificate and/or the Class B-1 Rule 144A Global Certificate, as applicable, are held as the holder of a particular principal amount of such Class B-1 Notes for all purposes (in which regard any certificate or other document issued by the Clearing System as to the principal amount of Class B-1 Notes represented by the Global Certificate standing to the account of any person shall be conclusive and binding for all purposes) other than with respect to the payment of any principal and interest on such Class B-1 Notes, the right to which shall be vested, as against the Issuer, solely in the registered owner of the Class B-1 Regulation S Global Certificate and/or the Class B-1 Rule 144A Global Certificate, as applicable, in accordance with and subject to its terms and the terms of this Trust Deed and “holder” (in respect of the Class B-1 Notes) shall be construed accordingly.

  • The Class A Noteholders, Class B-1 Noteholders and the Class B-3 Noteholders have approved the Proposed Amendment on 30 October 2019 acting by Ordinary Resolution.

  • Any such reports and notices that are required to be delivered to the Series 2008-1 Class A-1 Noteholders and the Series 2008-1 Class B-1 Noteholders hereunder will be made available on the Trustee’s website in the manner set forth in Section 4.4 of the Base Indenture.

  • Class A-1 Noteholders Interest Carryover Shortfall” means, with respect to any Payment Date, the excess of the Class A-1 Noteholders’ Monthly Accrued Interest for the preceding Payment Date and any outstanding Class A-1 Noteholders’ Interest Carryover Shortfall on such preceding Payment Date, over the amount in respect of interest that is actually paid to Holders of Class A-1 Notes on such preceding Payment Date, plus interest on the amount of interest due but not paid to Holders of Class A-1 Notes on the preceding Payment Date, to the extent permitted by law, at the Class A-1 Interest Rate for the related Interest Period.

  • Class A-2 Noteholders means the Class A-2a Noteholders and the Class A-2b Noteholders.

  • Class C Noteholders means the holders of any Class C Notes from time to time.

  • Class E Noteholders means the holders of any Class E Notes from time to time.

  • Class A-1 Noteholder means the Person in whose name a Class A-1 Note is registered on the Note Register.

  • Class D Noteholders means the holders of any Class D Notes from time to time.

  • Class A-2 Noteholder means the Person in whose name a Class A-2 Note is registered in the Note Register.

  • Class B Noteholders Distribution Amount” means, for any distribution date, the sum of the Class B Noteholders’ Interest Distribution Amount and the Class B Noteholders’ Principal Distribution Amount for that distribution date.

  • Class A Noteholders means, collectively, the Class A-1 Noteholders, the Class A-2 Noteholders, the Class A-3 Noteholders and the Class A-4 Noteholders.

  • Class A-2a Noteholder means the Person in whose name a Class A-2a Note is registered in the Note Register.

  • Class A-3 Noteholder means the Person in whose name a Class A-3 Note is registered on the Note Register.

  • Class A-4 Noteholder means the Person in whose name a Class A-4 Note is registered in the Note Register.

  • Class A-2b Noteholder means the Person in whose name a Class A-2b Note is registered in the Note Register.

  • Class A-1 Note Balance means, at any time, the Initial Class A-1 Note Balance reduced by all payments of principal made prior to such time on the Class A-1 Notes.

  • Class E Noteholder means the Person in whose name a Class E Note is registered on the Note Register.

  • Class A Noteholders’ Distribution Amount means, for any distribution date, the sum of the Class A Noteholders’ Interest Distribution Amount and the Class A Noteholders’ Principal Distribution Amount for that distribution date.

  • Class B Noteholders’ Distribution Amount means, for any distribution date, the sum of the Class B Noteholders’ Interest Distribution Amount and the Class B Noteholders’ Principal Distribution Amount for that distribution date.

  • Class C Noteholder means the Person in whose name a Class C Note is registered in the Note Register.
